| 1 | Payment terms are net 30 unless agreed in writing, interest charges apply on over due accounts 1.5% per month |
| 2 | Free loading / off loading times are: FTL 1.5 hours, LTL 45min after which additional charges can apply | |
| 3 | Signed paper work indicating waiting time determines charges that can apply | | |
| 4 | In the event of a dispute re: service the maximum claim cannot exceed the charge or rate for that | |
| particular shipment, Transzach in no way is responsible for down time, labor or any cost incurred by customer |
| or it's agents, affiliates, subcontractors, customers etc. | | | |
| 5 | Shipments are accepted from the shippers load and count | | | |
| 6 | Quotations are open for acceptance for 60days, if accepted or commenced after 60 days, rate review by Transzach |

| 7 | Transzach reserves the right to annually review it's rates to customers and submit increases to cover uncontrollable |

| 10 | Quotes and service estimates are based on equipment availability at time of order | | |
| 11 | When specific volumes and or duration of project are provided by customer rates are based on same. | |
| 12 | Once work commences on quoted work, terms and conditions of quote become the contract / agreement unless |
| otherwise agreed to in writing. These terms survive in addition to subsequent documents unless otherwise agreed |
